The legal agreement governing your access to and use of the Ironledge platform, APIs, and all associated services.
By accessing or using any Ironledge service — including the Ironledge website (ironledge.io), developer platform, APIs, SDKs, documentation, or any related services (collectively, the "Services") — you ("Customer", "you", or "your") agree to be bound by these Terms and Conditions ("Terms").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have such authority, or do not agree with these Terms, you must not use the Services.
These Terms constitute a legally binding agreement between you and Ironledge Limited ("Ironledge", "we", "us", or "our"). Our Privacy Policy is incorporated by reference.
Ironledge provides open banking infrastructure services including Account Information (AIS), Payment Initiation (PIS), Data Enrichment, AML Monitoring, and Compliance tooling, delivered via API and developer tools.
The Sandbox environment is provided free of charge for development and testing purposes only. It must not be used with real customer data or live bank accounts. Ironledge makes no SLA commitments for the Sandbox environment.
We reserve the right to modify, suspend, or discontinue any Service or feature with at least 30 days' notice for material changes, except where required by law, security necessity, or regulatory obligation. We will not materially degrade the Services during a subscription period without providing reasonable alternatives.
We target 99.9% uptime for Production API services as set out in our SLA. Scheduled maintenance is communicated via our status page (status.ironledge.io) with at least 24 hours' notice.
To use the Production Services, you must register for an account and complete our onboarding process, which includes identity verification and regulatory checks. You agree to:
You may not share API Keys between multiple organisations or transfer your account to another party without our written consent. Each API Key should be treated as a secret — do not commit them to public repositories or expose them in client-side code.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
Important: Any breach of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice and may be reported to relevant regulatory authorities.
API usage is subject to rate limits as published in our Documentation and your subscription plan. Exceeding rate limits will result in HTTP 429 responses. Persistent abuse of rate limits may result in account suspension.
We maintain API versioning to ensure backwards compatibility. We commit to a minimum 12-month deprecation notice for any API version or breaking change. Current and deprecated versions are documented at docs.ironledge.io/versioning.
When using Account Information Services, you are responsible for obtaining and maintaining valid end-user consent in accordance with FCA requirements and PSD2 regulations. Consent records must be retained for at least 5 years.
You must only request the data scopes necessary for your stated use case. Requesting broader data access than required constitutes a breach of these Terms and may violate data protection law.
Service fees are as set out in your Order Form or as displayed in the developer dashboard. All fees are exclusive of VAT. We reserve the right to change pricing with 30 days' written notice.
For usage-based plans, fees are calculated monthly in arrears based on actual API call volumes. Invoices are issued on the 1st of each month and payable within 30 days.
Late payments accrue interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend access to Production Services for accounts more than 14 days overdue.
Invoice disputes must be raised within 30 days of the invoice date. Undisputed amounts remain due and payable. Contact info@ironledge.co.uk to raise a dispute.
All intellectual property rights in the Services, APIs, Documentation, software, brand, and any derivative works are owned by or licensed to Ironledge. These Terms do not grant you any rights to Ironledge's intellectual property except the limited licence expressly granted herein.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services and Documentation solely for the purpose of building and operating your authorised application.
You retain all rights in Customer Data. By submitting Customer Data to our Services, you grant us a limited licence to process it solely for the purpose of providing the Services to you.
If you provide feedback, suggestions, or feature requests, you grant us an irrevocable, perpetual, royalty-free licence to use that feedback in any way without obligation to you.
Each party agrees to keep confidential any non-public information of the other party disclosed in connection with these Terms ("Confidential Information"), and not to disclose it to third parties without prior written consent, except:
This confidentiality obligation survives termination of these Terms for a period of 3 years.
Where Ironledge processes personal data on your behalf as a data processor, the parties shall comply with the Data Processing Agreement ("DPA") which forms part of these Terms and is available at ironledge.io/privacy-policy.
You, as data controller, are responsible for ensuring you have appropriate legal bases to collect and submit Customer Data through our APIs, and for providing required privacy notices to your end users.

We warrant that: (i) we have the right to provide the Services; (ii) the Services will perform materially in accordance with the Documentation; and (iii) we will comply with all applicable laws in providing the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS". WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that: the Services will be error-free or uninterrupted; data returned via the API will be complete, accurate, or up-to-date (as this depends on third-party banks); or that the Services will meet your specific requirements beyond what is stated in the Documentation.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
You agree to indemnify, defend, and hold harmless Ironledge and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from or relating to:
You may terminate your account at any time by providing 30 days' written notice to info@ironledge.co.uk. You remain liable for all fees accrued up to the termination date.
We may terminate or suspend your access immediately without notice if: you breach these Terms materially and fail to remedy the breach within 14 days of written notice; you become insolvent or enter administration; or we are required to do so by law or regulatory authority.
We may terminate for convenience with 30 days' written notice. In this case, we will issue a pro-rata refund for any prepaid fees.
Upon termination: your access to the Services ceases; you must delete all API Keys and destroy any Ironledge Confidential Information; and any outstanding fees become immediately due. Sections 8, 9, 12, 13, and 15 survive termination.
These Terms are governed by and construed in accordance with the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
Before commencing legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. If unresolved within 30 days, either party may escalate to mediation via CEDR (Centre for Effective Dispute Resolution) before pursuing litigation.
